Welcome to eComHelp, an online platform owned and operated by S G Enterprises (referred to as "eComHelp", "we", "us", or "our"). These Terms of Use ("Terms") govern your access to and use of the website www.ecomhelp.in, its associated subdomains, and all services offered by eComHelp.
By accessing this website, registering for an account, or using any of our services, you agree to be bound by these Terms. If you do not agree, please do not use this website or our services.
1.About eComHelp
eComHelp is a private consultancy and e-commerce growth platform. We assist entrepreneurs, small businesses, and growing brands with:
- Marketplace Services: Onboarding, account management, and advertising on Amazon, Flipkart, Meesho, and other platforms
- Ads & Growth: Google Ads, Meta Ads, and Amazon Ads management
- Shopify Solutions: Store creation, store management, and end-to-end conversion tracking
- Business Essentials: GST Registration, MSME / Udyam Registration, Online Rent Agreement, Current Account Assistance, Business Loan Assistance, Google-Ready Business Presence
2.Eligibility
To use our services, you must:
- Be 18 years of age or older
- Be legally capable of entering into a binding contract under Indian law
- Provide accurate, complete, and current information
- Use the services only for lawful purposes
By registering or engaging our services, you confirm that you meet these eligibility requirements.
3.Account Registration & Information
If you create an account or share information for service delivery, you agree to:
- Provide accurate, complete, and up-to-date information
- Maintain the confidentiality of your account credentials (where applicable)
- Notify us immediately of any unauthorized access to your account
- Ensure that all documents and data provided are consistent with your official records
You are solely responsible for any discrepancies, false information, or inaccuracies in the information you provide. eComHelp will not be liable for refunds, rejections, or service delays caused by such discrepancies.
4.Services Provided
4.1Nature of Services
eComHelp provides professional consultancy and facilitation services. Our role is to:
- Help you complete applications and filings correctly
- Coordinate with relevant Government portals or third-party platforms
- Provide expert guidance on compliance, marketplace setup, and growth services
- Deliver outcomes within agreed timelines (subject to factors outside our control)
4.2Service Categories
Our services fall into two broad categories:
- One-time services — defined deliverable with a defined timeline (e.g., GST Registration, MSME Registration, Rent Agreement, Shopify Store Creation)
- Ongoing services — recurring monthly engagements (e.g., Ads Management, Marketplace Account Management, Shopify Store Management)
The specific scope, timeline, and deliverables for each service are described on the relevant service page or in your service agreement.
4.3What We Do Not Guarantee
- Approval or successful registration by Government authorities (such approvals are at the sole discretion of the relevant authority)
- Specific ROI, sales, conversion, or growth outcomes for ongoing services (such outcomes depend on multiple factors outside our control)
- Speed or response time of third-party platforms (Amazon, Flipkart, Meesho, Google, Meta, etc.)
5.Payments & Fees
5.1Service Fees
- All services are fee-based. Current pricing is displayed on the relevant service page or in your service quote
- Fees are payable in advance, before service delivery commences
- All applicable taxes (GST, etc.) are charged in addition to the service fee unless explicitly stated otherwise
- We accept payments through approved payment gateways (UPI, debit/credit cards, net banking)
5.2Government Fees
For Government registration services (GST, MSME, etc.), the Government may or may not charge a separate fee. Where the Government charges no fee (such as GST Registration and MSME Registration), our service fee is solely for our professional assistance.
5.3Fee Revisions
We reserve the right to revise our service fees at any time. Revised fees apply to new orders only — existing orders are honored at the price paid.
5.4Non-Payment
If payment fails, is reversed, or is disputed:
- We may suspend or terminate the service immediately
- Any work completed up to that point remains payable
- Re-initiation of the service requires payment in full
6.Refunds & Cancellations
Refund and cancellation terms are governed by our separate Refund & Cancellation Policy, which forms an integral part of these Terms.
In summary:
- For one-time services, refunds are available only before service initiation and within 24 hours of payment, subject to administrative deductions
- For ongoing services, you may cancel future billing cycles with 15 days' written notice, but the current paid period is non-refundable
- No refunds are issued for delays caused by Government portals, third-party platforms, or your failure to provide required information

7.Customer Obligations
You agree to:
- Provide all required documents and information within 7 working days of our request, unless a different timeline is mutually agreed
- Respond promptly to verification requests (Aadhaar OTPs, document confirmations, etc.) — typically within 24 hours
- Provide accurate, lawful, and consistent information
- Maintain confidentiality of any login credentials shared with us (for ongoing services like Ads Management or Shopify management)
- Notify us immediately of any changes to your business details, contact information, or other relevant data
- Not misuse our services for any unlawful or fraudulent purpose
Failure to meet these obligations may result in service delays, additional charges, or service termination — all without refund liability on our part.
8.Prohibited Conduct
By using our services, you agree NOT to:
- Provide false, misleading, or fraudulent information
- Violate any applicable laws, intellectual property rights, or third-party rights
- Use our services to engage in illegal activities, money laundering, or tax evasion
- Upload or transmit malicious code, viruses, or harmful programs
- Use automated tools (bots, scrapers, etc.) to access our website without written permission
- Impersonate another person or business
- Resell or redistribute our services without written authorization
- Reverse engineer, decompile, or attempt to extract our proprietary processes
- Harass, abuse, or threaten our team members or representatives
9.Intellectual Property
9.1Our Content
All content on www.ecomhelp.in — including text, graphics, designs, logos, code, photographs, videos, and trademarks — is the property of eComHelp / S G Enterprises or its licensors. This content is protected under Indian copyright and trademark laws.
You may not copy, modify, distribute, reproduce, or create derivative works of our content without our prior written consent.
9.2Your Content
Any content you provide to us for service delivery (documents, brand assets, product information, etc.) remains your property. You grant us a limited, non-exclusive license to use this content solely for the purpose of delivering the services you have purchased.
9.3Deliverables
Final deliverables (Shopify stores, ad campaigns, brand assets created for you) become your property upon full payment. We retain the right to showcase generic case studies and portfolio items, with personally identifiable details anonymized unless you explicitly consent otherwise.
10.Confidentiality
Both parties agree to maintain confidentiality regarding any non-public information shared during the engagement:
- We will not disclose your business information, strategies, or proprietary data to any third party except as required for service delivery or by law
- You will not disclose our internal processes, pricing structures, or proprietary methodologies to any third party
This confidentiality obligation survives the termination of any service agreement.
11.Service Delivery & Timelines
11.1Delivery Timelines
Specific delivery timelines are mentioned on relevant service pages. These are based on:
- Normal Government portal processing times
- Standard third-party platform response times
- Our internal service standards
11.2Factors Outside Our Control
Delivery may be delayed by:
- Government portal downtime or backlogs
- Third-party platform delays (Amazon, Flipkart, Meesho, Google, Meta, etc.)
- Aadhaar / PAN / GST mismatches requiring corrections
- Incomplete or incorrect information provided by you
- Force majeure events (see Section 14)
We will keep you informed of any significant delays. However, such delays do not entitle you to a refund.
12.Limitation of Liability
To the maximum extent permitted by law:
- eComHelp's total liability for any claim arising from your use of our services is limited to the fees paid by you for the specific service in question
- We are not liable for any indirect, incidental, consequential, special, or punitive damages — including but not limited to lost profits, lost revenue, lost data, or business interruption
- We are not liable for outcomes that depend on Government decisions, third-party platforms, or factors outside our control
- We are not liable for losses resulting from your failure to comply with these Terms or your provision of inaccurate information
This limitation applies regardless of the legal theory of the claim (contract, tort, negligence, or otherwise).
13.Indemnification
You agree to indemnify, defend, and hold harmless eComHelp, S G Enterprises, its affiliates, employees, contractors, and service partners from any and all claims, damages, liabilities, costs, and expenses (including legal fees) arising from:
- Your use of our services
- Your violation of these Terms
- Your violation of any law or third-party rights
- Inaccurate, false, or misleading information provided by you
- Misuse of any deliverables provided to you
14.Force Majeure
eComHelp shall not be liable for any failure or delay in service delivery caused by events beyond our reasonable control, including but not limited to:
- Natural disasters, earthquakes, floods, fires
- Pandemics, epidemics, public health emergencies
- War, terrorism, civil unrest
- Government actions, regulatory changes, or court orders
- Technical failures of Government portals or third-party platforms
- Internet outages, telecommunications failures
- Labor disputes, strikes, lockouts
During a force majeure event, our obligations are suspended. If the event extends beyond 60 days, either party may terminate the service in writing, with no refund liability on our part for work already completed.
15.Termination
15.1Termination by You
- For one-time services, you may cancel only before service initiation per the Refund Policy
- For ongoing services, you may terminate with 15 days' written notice
15.2Termination by Us
We may terminate or suspend your access to our services immediately, without prior notice or liability, if:
- You violate these Terms
- You provide false or fraudulent information
- You fail to pay applicable fees
- You engage in prohibited conduct
- We are required to do so by law
Upon termination, all amounts paid to us are forfeited, and we are not obligated to provide any further services.
16.Disputes & Resolution
16.1Good-Faith Resolution
Before initiating any legal proceedings, both parties agree to attempt to resolve any dispute through:
- Direct communication — email and meetings between authorized representatives
- Mediation — if direct communication fails, mediation through a mutually-agreed mediator
16.2Jurisdiction
If a dispute cannot be resolved through good-faith efforts, it shall be subject to the exclusive jurisdiction of the courts in Delhi NCR, India. These Terms and any disputes arising from them are governed by the laws of India.
16.3Limitation Period
Any claim or cause of action arising out of your use of our services must be filed within one year from the date the claim arose. After this period, the claim is permanently barred.
17.Modifications to Terms
We reserve the right to modify these Terms at any time. Material changes will be:
- Posted on this page with an updated date
- Communicated to active customers via email (for significant changes)
Your continued use of our services after changes constitutes acceptance of the modified Terms. If you do not agree with any changes, you must stop using our services.
18.Severability
If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, the remaining provisions will continue to be valid and enforceable to the fullest extent possible.
19.Entire Agreement
These Terms, together with our Privacy Policy and Refund & Cancellation Policy, constitute the entire agreement between you and eComHelp regarding the use of our services. They supersede any prior agreements or understandings (oral or written) on the subject matter.
